Film Critic Terms and Conditions

1. Definitions

  • “Critic” means any individual or entity formally enrolled or designated by GEM to provide professional or semi-professional reviews, ratings, or commentary on Content on or for the Platform.
  • “Critic Content” means any reviews, ratings, commentary, or other written, audio, or audiovisual analysis submitted by a Critic to or through the Platform.

2. Acceptance of Terms

2.1 By registering as a Critic, accepting an invitation to serve in a critic capacity, or submitting Critic Content, the Critic agrees to be bound by these Critic Terms & Conditions (“Critic Terms”), in addition to any general terms applicable to Platform users.

3. Role of Critics and Independence

3.1 Critics are expected to provide honest, good‑faith evaluations of Content based on their own expertise and viewing experience.

3.2 Critics acknowledge that their opinions are their own and do not represent GEM’s official views, endorsements, or positions.

3.3 GEM reserves the right to publish, feature, de‑emphasize, or remove Critic Content, to preserve platform integrity and compliance with these Critic Terms.

4. Standards of Conduct and Language

4.1 Critics must adhere to professional and respectful standards when producing Critic Content or interacting with creators, subscribers, and other users.

4.2 Without limiting the foregoing, Critic Content must not:

  • contain hate speech, slurs, or threats;
  • include harassment, bullying, or personal attacks against creators, cast, crew, subscribers, or other critics;
  • use obscene, extremely vulgar, or gratuitously insulting language, even when expressing negative opinions about the Content;
  • make knowingly false statements presented as fact about identifiable individuals; or
  • disclose private or confidential information about any person.

4.3 Critics may provide negative or critical reviews of Content, including strong opinions and robust analysis, but criticism must focus on the work itself rather than personal attacks on its creators or participants.

4.4 GEM may, in its sole discretion, determine whether particular language or conduct violates these standards and may act accordingly, including by editing, removing, or declining to publish Critic Content.

5. Freedom of Expression and Moderation

5.1 GEM acknowledges the importance of freedom of expression and critical discourse in evaluating creative works, and does not seek to suppress truthful, good‑faith criticism.

5.2 At the same time, Critics acknowledge that GEM may moderate, restrict, or remove Critic Content that:

  • violates these Critic Terms;
  • exposes GEM or others to legal risk, including defamation claims; or
  • undermines the safety or dignity of users and creators through bullying or targeted harassment.

6. Use of Platform and Tools

6.1 Critics may be provided with special access to Content, early screenings, or enhanced tools for publishing reviews and ratings. Such access is provided solely for the purpose of producing Critic Content consistent with these Critic Terms.

6.2 Critics may not share advance screeners, login credentials, or access links with unauthorized third parties, nor may they publicly disclose embargoed information in violation of any release schedules or embargo terms set by GEM or rights‑holders.

7. Ownership and License of Critic Content

7.1 As between GEM and the Critic, the Critic retains ownership of copyright in Critic Content, subject to any separate written agreements.

7.2 By submitting Critic Content, the Critic grants GEM a non‑exclusive, worldwide, royalty‑free license to use, reproduce, distribute, publicly display, and promote the Critic Content in connection with the Platform, including in marketing materials, content pages, and recommendation features.

7.3 The license described in Section 7.2 continues for as long as the Critic Content is displayed on the Platform and for a reasonable archival and backup period thereafter.

8. Prohibited Conduct

8.1 Critics may not:

  • use their status to harass, intimidate, or pressure creators or subscribers;
  • coordinate review‑bombing or bad‑faith rating campaigns;
  • solicit or accept compensation or benefits from creators or third parties in exchange for favorable or unfavorable reviews, unless fully disclosed in advance consistent with applicable disclosure laws; or
  • misrepresent their qualifications, affiliations, or industry roles.

9. Suspension and Termination of Critic Status

9.1 GEM may suspend or terminate a Critic’s status and/or access to Critic tools where it determines that:

  • the Critic has engaged in harassment, bullying, or abusive behavior;
  • the Critic has repeatedly or egregiously violated content standards;
  • the Critic has misused early access or confidential materials; or
  • continued association would present reputational or legal risk for GEM.

9.2 Suspension may be temporary, pending review, or indefinite. GEM may provide notice of the reason for suspension or termination where appropriate, but is not obligated to disclose all underlying information.

10. Disclaimers and Limitation of Liability

10.1 GEM is not responsible for the content of any Critic’s opinions and does not guarantee the accuracy, completeness, or quality of Critic Content.

10.2 Critics are solely responsible for the views expressed in Critic Content and any consequences arising from those views.

10.3 To the maximum extent permitted by law, GEM shall not be liable for any indirect, incidental, consequential, or special damages arising from the Critic’s use of the Platform or from any actions taken in connection with moderation or removal of Critic Content.

11. Indemnification

11.1 Critics agree to indemnify, defend, and hold harmless GEM and its affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

  • Critic Content;
  • any allegation that Critic Content is defamatory, infringes third‑party rights, or violates applicable law; or
  • any breach of these Critic Terms.

12. Governing Law and Dispute Resolution

12.1 These Critic Terms are governed by the laws of the United States and the Commonwealth of Pennsylvania, without regard to conflict‑of‑law rules.

12.2 Any dispute shall be brought exclusively in the state or federal courts located in Philadelphia, Pennsylvania, and Critics consent to the jurisdiction of such courts.
