1. Definitions

• “Subscriber” means any individual who creates an account on the Platform and accesses content or services on a paid subscription or similar basis.
• “Subscriber Content” means any comments, ratings, reviews, or other content submitted by Subscribers via interactive features.
• “Content” means films, series, shorts, and other audiovisual materials available on the Platform.

2. Acceptance of Terms

2.1 By creating an account, purchasing a subscription, or accessing any Content, Subscribers agree to be bound by these Subscriber Terms & Conditions (the “Subscriber Terms”) and any other applicable policies referenced by GEM.​

3. Subscription and Payments

3.1 Subscription plans, pricing, and available Content may vary by territory and offering and may be updated periodically at GEM’s discretion.

3.2 Subscriptions typically renew automatically at the end of each billing period unless canceled in accordance with GEM’s cancellation procedures.

3.3 Subscribers are responsible for all charges associated with their accounts and for maintaining valid and current payment information.

3.4 Subscribers may cancel their subscription at any time through their account settings. Subject to applicable law, fees already charged are non‑refundable, except where GEM explicitly offers a refund or credit.

4. License to Use the Platform

4.1 Subscribers receive a limited, non‑exclusive, non‑transferable, revocable license to access and view Content for personal, non‑commercial use only.

4.2 Subscribers may not:

• distribute, publicly perform (outside a private setting), broadcast, or exhibit Content in any public or commercial venue;
• copy, download (except as expressly permitted offline viewing features), reproduce, or create derivative works of Content; or
• circumvent digital rights management, access controls, or any security measures of the Platform.

5. Content, Ideologies, and Sensitive Themes

5.1 The Platform includes a diverse range of Content created by independent creators and other rights holders. Some Content may include mature, controversial, or sensitive themes, including violence, language, or ideological viewpoints that some viewers may find offensive or disturbing.

5.2 Subscribers acknowledge that GEM does not endorse, adopt, or control the views, opinions, or ideologies expressed in any Content and that responsibility for such expression rests with the respective creators or rights holders.

5.3 To the maximum extent permitted by law, Subscribers agree that they will not bring any claim or legal action against GEM arising from offense, disagreement, or emotional distress related to the themes, messages, or ideologies contained in the Content.

6. Parental Responsibility and Age‑Appropriate Viewing

6.1 GEM may provide ratings, genre information, or advisory notices as guidance; however, such information is not a guarantee of suitability for any particular viewer.

6.2 Subscribers are solely responsible for managing access to the Platform within their households and for determining what Content is appropriate for children or other viewers under their care.

6.3 GEM is not responsible if a minor accesses Content that a parent, guardian, or responsible adult would consider inappropriate. The responsibility for supervision, use of device‑level controls, and Content choices rests exclusively with the Subscriber.

7. Photosensitivity and Health Warnings

7.1 Some Content may contain flashing lights, patterns, or sequences that could trigger seizures, loss of consciousness, or other symptoms in individuals with photosensitive epilepsy or other medical conditions.

7.2 Subscribers are advised to consult a medical professional if they have a history of such conditions or experience discomfort while watching Content.

7.3 Subscribers agree that GEM is not liable for any health incidents, including seizures or other episodes, arising from viewing Content on the Platform.

8. Subscriber Conduct, Ratings, and Comments

8.1 Subscribers may have access to interactive features, including the ability to rate and review Content, leave comments, or otherwise participate in community features.

8.2 Subscribers agree that any Subscriber Content they submit shall:

• be honest and relevant to the Content being discussed;
• not contain hate speech, harassment, threats, bullying, or personal attacks directed at creators, other users, or any identifiable individuals;
• not contain obscene, extremely vulgar, or gratuitously offensive language; and
• not violate any third‑party rights, including privacy and publicity.

8.3 GEM reserves the right, but does not undertake an obligation, to moderate, edit, remove, or decline to display Subscriber Content for any reason, including violations of these Subscriber Terms.

8.4 GEM may suspend or terminate a Subscriber’s account where there is credible evidence of repeated or serious violations of community conduct rules, including targeted harassment or defamatory attacks.

9. Intellectual Property

9.1 All Content and the Platform, including interfaces, logos, trademarks, and underlying software, are protected by copyright, trademark, and other intellectual property laws.

9.2 Except for the limited license granted in Section 4, Subscribers obtain no rights to any Content or aspects of the Platform.

10. Disclaimers and Limitation of Liability

10.1 The Platform and all Content are provided “as is” and “as available,” without warranties of any kind, express or implied.

10.2 GEM does not guarantee uninterrupted or error‑free service, specific Content availability, or compatibility with any particular device or network.

10.3 To the maximum extent permitted by law, GEM shall not be liable for:

• indirect, incidental, consequential, special, or punitive damages;
• loss of data, loss of use, or lost profits;
• personal offense, disagreement, or distress arising from Content themes or ideologies; or
• health issues including photosensitivity‑related incidents.

10.4 In any event, GEM’s total aggregate liability to a Subscriber shall be limited to the amount paid by that Subscriber to GEM in the three (3) months immediately preceding the event giving rise to the claim.

11. Account Suspension and Termination

11.1 GEM may suspend or terminate a Subscriber account:

• for violations of these Subscriber Terms or other applicable policies;
• for fraudulent or suspicious activity; or
• where required by law or in response to valid legal process.

11.2 Upon termination, access to the Platform may immediately cease, and any rights to view Content shall end, except where limited access is required by law.

12. Governing Law and Dispute Resolution

12.1 These Subscriber Terms are governed by the laws of the United States and the Commonwealth of Pennsylvania, without regard to conflicts of law.

12.2 Any dispute shall be brought exclusively in the state or federal courts located in Philadelphia, Pennsylvania, and Subscribers consent to the jurisdiction and venue of such courts.
